Stakeholders: Company, Investors, Brokers, Regulators, Shareholders and Governing Board of NSE Clearing Ltd (NCL)
KMP Classification: Position is classified as Key Management Personnel (KMP) as per SEBI SECC Regulations, 2018 and Companies Act, 2013 & LODR.
Job Summary:
The Executive Director – Vertical 1 (Critical Operations), shall be responsible for the strategic leadership, direction, and overall management of all functions under Vertical 1 of NCL
The role ensures that the functions under the Vertical 1 of NCL. are performed in the interest of the securities market and are guided by public interest without having any revenue-oriented objectives.
The position shall be responsible to ensure zero disruption operations, cyber resilience and scalable infrastructure supporting India’s capital market backbone to synchronize with Viksit Bharat.
Key Responsibilities
Strategic Leadership and Vision:
Provide strategic thought leadership by partnering with the MD & CEO and the Governing Board to shape and execute long-term transformational strategies for NCL’s critical market infrastructure. Champion initiatives that strengthen technology resilience, operational risk frameworks and regulatory compliance, ensuring the organization remains future-ready, secure, and aligned with global best practices and public interest.
Optimize operational efficiency with zero compromise on quality of service.
Provide strategic leadership for all technology and operational functions including applications, infrastructure, operations and information security. Lead the identification, development and implementation of scalable, resilient, and secure technical designs for all critical systems and platforms.
Develop a multi-year roadmap for critical operations, focusing on zero-disruption clearing and settlement, cyber resilience and scalable infrastructure.
Responsible to ensure that all the functions are operating in the interest of the securities market and are guided by public interest.
Discharge fiduciary duties in accordance with the relevant laws and regulations viz. Companies Act 2013, SEBI Regulations, etc.
Ensure all necessary Information Security and Technology policies, procedures and risk frameworks are put in place for smooth functioning and operations of the clearing corporation
Ensure that a comprehensive cyber security framework is implemented and continuously maintained in line with the applicable regulatory directives and guidelines issued by Government and other regulatory authorities from time to time.
Anticipate future market and technology trends to maintain operational excellence and resilience.
Drive innovation in clearing and settlement processes to support scalability and efficiency.
Operations and Infrastructure:
Oversee clearing and settlement operations across all asset classes, ensuring uninterrupted functioning.
Maintain and upgrade infrastructure to handle high transaction volumes with minimal latency.
Implement robust business continuity and disaster recovery plans to ensure operational resilience.
Operational Management and Adequacy of Resources:
Drive operational efficiency initiatives, strategically leveraging automation efforts to streamline processes and optimize resource utilization.
Oversee critical operations under Vertical 1 are delivered efficiently and with utmost reliability. Ensure operational efficiency and regulatory compliance by aligning processes with SEBI circulars / guidelines.
Ensure availability of adequate skilled human resources in all critical functions under Vertical 1 by focusing on capacity building. Implement strategies in line with regulations ensuring competent talent supports the functioning of Vertical 1.
Manage and develop annual budget, monitor cash flow and expenditure, ensuring accurate and timely financial reporting.
Applications & Development:
Drive modernization of NCL’s technology stack to handle exponential growth in transaction volumes, low-latency processing, and real-time risk management.
Utilize applications to enhance efficiency, resilience and integrity of Clearing and Settlements systems.
Ensure robust project management, timely delivery, and adoption of latest technology trends.
Cyber Resilience and Risk Preparedness: Establish a cybersecurity-first culture, embedding zero-trust principles, advanced threat detection and automated incident response. Ensure business continuity and disaster recovery plans are robust, tested regularly and capable of meeting stringent targets.
Promote integration of AI & ML into business processes.
Leverage the large data repositories of NCL to produce actionable business and operational strategies via data analytics.
Supervise development and maintenance of mission-critical applications for clearing and settlement.
Ensure technology platforms meet global standards for security, scalability and performance.
Collaborate with IT and cybersecurity teams to integrate advanced technologies for risk mitigation.
Regulatory Adherence:
Ensure compliance with the procedures/policies/process for all functions under Vertical 1 as laid down by SEBI/NCL Board. Ensure proper reporting, providing information, escalating exceptions to various statutory and internal committees and NCL Board.
Oversee compliance with relevant legal and regulatory requirements as specified by Government & other regulatory authorities.
Review and enhance Internal Quality Control and Benchmarking Standards in all functions under Vertical 1.
Provide information, participate in various policy level discussions with regulators.
Anticipate future market and technology trends to maintain operational excellence and resilience.
Drive innovation in clearing and settlement processes to support scalability and efficiency.
Reporting structure and Meeting:
The Executive Director of Vertical 1 for all purposes shall report to Managing Director & CEO of NSE Clearing Ltd.
Report to Governing Board of NSE Clearing Ltd. on quarterly basis on areas concerning the functions under Vertical 1. In addition, where deemed necessary and important, the Executive Director may bring matters directly to the attention of SEBI.
Team Management & People Leadership:
Lead and develop high-performing, rightsized, and multi-functional teams. Cultivate a culture of continuous improvement, actively challenging the workforce to proactively address skill gaps and combat organizational complacency.
Manage and allocate adequate resources in the functions under Vertical 1.
Lead initiatives for capability building, training and continuous upskilling, particularly in areas of technology, cyber security, clearing and settlement operations and regulatory compliance.
Foster the culture of accountability, risk awareness and continuous improvement consistent with regulator’s governance expectations from MIIs.
Implement succession planning and leadership development programs.

Qualifications:
Master’s or Bachelor’s degree in engineering / Computer Science /management/accountancy from reputed university / institute. Other postgraduates, CA or CS may be considered depending on their expertise in capital market related areas and experience.
Experience:
Minimum 20 years as on 01st June 2026 (with at least 8 years in a Senior Leadership role) in Clearing Corporations/ Stock Exchange/ Financial Market Infrastructure Institutions / Regulatory Bodies / Banks /Financial institutions / IT Companies / Telecom Companies.
Experience in managing large-scale, high-speed, mission-critical IT systems and teams is required.
Experience of handling regulatory requirements, operational risk management, and compliance frameworks is desirable.
Strong leadership and strategic thinking capabilities.
Deep understanding of clearing and settlement processes, cyber resilience, and SEBI regulations.
Excellent communication and stakeholder management skills.
